Terms & Conditions of Sale

Notice: All prospects and customers, new or existing, must agree to the following terms and conditions prior to purchasing and/or using any products and services from Esensors, Inc.

PRICE QUOTATION TERMS & CONDITIONS:

  • Concepts, products and prices are based upon information supplied at the time of quoting. Esensors, Inc. reserves the right to re-quote if there are any changes or errors on the original quote.
  • All price quotations are valid for 30 days from the date of issue. After 30 days, a new price quotation must be requested.
  • All prices quoted in US Dollars unless written otherwise on the quotation.
  • Delivery date estimates are not final. Esensors, Inc. reserves the right to change delivery dates without notice to customer.

SALES ORDERS TERMS & CONDITIONS:

  • All orders must be prepaid unless a credit account is established with Esensors, Inc.
  • Establishment of a credit account is contingent upon credit approval by Esensors, Inc. It is Esensors, Inc.'s policy to request completed and signed credit applications from new customers. Esensors, Inc. may request that existing customers submit completed and signed credit applications every year to keep files updated.
  • Purchase Order must be faxed or emailed to Esensors Sales Department. All purchase orders must include the following information:
    - Purchase order number
    - Complete bill to and ship to addresses
    - Complete description of product being ordered including price, quantity and discounts.
    - Esensors Price Quotation number
    - Esensors default delivery terms are F.O.B. origin and payment terms are NET 15 days. If payment and delivery terms were not agreed to in prior writing, then NET 15 and F.O.B. origin will be used. Purchase orders indicating different terms from Esensors Price Quotation must be authorized and agreed upon prior to submission of such orders.
  • Delivery dates are not final. Esensors, Inc. reserves the right to change delivery dates without prior notice to the customer.

PAYMENT TERMS

Payment terms are Net 15 Days from date of invoice, unless otherwise specified differently in prior writing. Payment is due 15 days from date of invoice. Esensors, Inc. reserves the right to apply any late payment charges, interest rate and/or collection fees to delinquent accounts.

CANCELLATION
A purchase order placed on the basis of a quotation may be canceled by the buyer up to 7 days prior to the estimated shipping date, provided that:

  1. Esensors, Inc. receives a signed and dated cancellation notice either by fax or mail
  2. Customer receives a signed acknowledgement from an Esensors, Inc. representative
  3. The buyer agrees to compensate Esensors, Inc. for all losses resulting from the cancellation, including any loss of engineering costs, development costs, labor costs and material costs already incurred as of the date of cancellation.

RETURNS
Esensors, Inc. will accept the return of any standard parts, components or products under our 30 Day Money Back guarantee policy, which is subject to conditions deemed reasonable and appropriate by Esensors, Inc. The items eligible for return must be returned within 30 days from date of invoice and returned according to the section PROCEDURES FOR RETURN OR WARRANTY.

EXPORT

If this transaction involves an export of items (including, but not limited to, commodities, software or technology) subject to the Export Administration Regulations, such items were exported from the United States by Seller in accordance with the Export Administration Regulations. Customer agrees that it will not divert, use, export or re-export such items contrary to United States law. Customer expressly acknowledges and agrees that it will not export, re-export, or provide such items to any entity or person within any country that is subject to United States economic sanctions imposing comprehensive embargoes without obtaining prior authorization from the United States Government. The list of such countries subject to United States economic sanctions or embargoes may change from time to time but currently includes Cuba, Iran, Sudan, and Syria. Customer also expressly acknowledges and agrees that it will not export, re-export, or provide such items to entities and persons that are ineligible under United States law to receive such items, including but not limited to, any person or entity on the United States Treasury Department’s list of Specially Designated Nationals or on the United States Commerce Department’s Denied Persons List, Entity List, or Unverified List. In addition, manufacturers' warranties for exported Products may vary or may be null and void for Products exported outside the United States.

LIMITED WARRANTY

Customer must ensure that the correct items are received upon delivery of shipment. Esensors, Inc. must be notified of any discrepancies in your order within 30 days of the invoice date. After the 30-day grace period, Esensors, Inc. reserves the right to provide a full refund, a partial refund, or no refund at all.

This limited warranty is granted to the customer by Esensors, Inc. and extends only to the original customer performing the purchase of Esensors product. The goods you purchased are warranted free from defects in workmanship and materials at the time of sale. If a product exhibits a manufacturing defect, Esensors, Inc. will, at its option, repair or replace it (with the same or equivalent model), with no charge to you. If the limited warranty period is not explicitly stated on any prior written agreement, then the limited warranty defaults to one (1) year from invoice date.

Damage resulting from accidents, alterations, failure to follow instructions, incorrect assembly, misuse, unauthorized service, fire, flood, power surges, acts of God, regular wear and tear or other causes not arising from manufacturing defects is NOT covered by this warranty. If the product is altered in any way, the warranty is voided.

Esensors, Inc. or its suppliers will not be liable and will not compensate for loss of time, inconvenience, loss of the use of the product, property damage caused by the product, personal injury and/or death arising from the use of this product, its failure to work or any other incidental or consequential damage arising from the usage of this product. Esensors, Inc. provides no warranty, expressed or implied, as to the fitness of the products for any particular purpose.

Parts used in repairing or replacing the product will be warranted until the original warranty expires. Products or parts that malfunction and are not warranted will be replaced or repaired and then shipped entirely at the expense of the customer.

This warranty is given in lieu of all other warranties, express or implied, including the warranties of merchantability and fitness for a particular purpose and constitutes the only warranty made by Esensors, Inc.

PROCEDURES FOR RETURN OR WARRANTY
In order to return any product or part, the customer must obtain a Returned Merchandise Authorization (RMA) number prior to sending any items for warranty service or return. To be granted an RMA number, a Technical Support Email must be generated either by phone call or email. After the customer provides all of the necessary information and obtains an RMA number, the customer can ship the defective product to Esensors, Inc. Once the RMA number is granted, the customer has 30 days to ship the product to Esensors, Inc. After 30 days, the RMA number expires and another RMA number must be obtained from Esensors, Inc. If the malfunction is deemed a manufacturing defect, warranty service will be performed free of charge. Products are returned to the customer using Esensors, Inc. preferred shipping method. Merchandise should be shipped in a safe and secure package with the RMA number clearly visible on the outside of the package. Esensors, Inc. cannot assume responsibility for lost or damaged merchandise during shipping.

When acquiring an RMA number the following information will be required:
1. Company name, contact name, return shipping address, email address, and phone number.
2. The product name or model number being returned.
3. The serial number of the product being returned.
4. The reason for the return.
5. Original invoice number or sales order number.

INTERNATIONAL ORDERS TERMS & CONDITIONS (In Addition to All Terms & Conditions in Previous Sections):

  • Esensors cannot provide evaluation/demonstration units to customers outside of the United States of America.
  • The customer is responsible for paying all taxes, duties, tariffs, and customs fees.
  • International orders cannot be drop shipped and invoices cannot be changed to reflect a resale price.
  • Freight Forwarders may be used, but all arrangements for shipping must be made with the freight forwarder and not with Esensors. There will be additional handling charge for using a freight forwarder.
  • All International orders outside of the United States require a quotation prepared by our Sales Department.
  • International orders with valued under $900 must be prepaid by Wire Transfer or Credit Card. Orders valued more than $900 can either be prepaid or must place a 50% deposit up front.
  • All shipments will be sent via the preferred shipping method on our Price Quotation, unless other methods are arranged. Any method other than those offered in our Price Quotation will require additional fees for processing.
